(A) Stall Booking

1. 1. Stalls shall be allotted on first come first serve basis & shall be deemed confirmed after 100% payment is credited to Adaantio India’s bank account as per the payment plan for each exhibition.
   2. Exhibitors shall connect directly with Adaantio India to check the stall availability as per the floor plan & block an available stall number of their choice. The stall shall be kept on hold for a maximum duration of four (04) hours from the time of blocking for the exhibitor to make payment as per the payment plan. Post the hold duration of four (04) hours, the stall shall be released for other exhibitors to book.
   3. The payment plan for each event can be different. Exhibitors shall procure details of each event including but not limited to floor plan, participation charges, payment plan, specific terms and conditions of the venue, standard fitment in a stall/booth directly from Adaantio India to take an informed decision.
   4. Stall charges for each exhibition vary based on the venue, theme & type of the event.
   5. Stall charges in a particular exhibition vary based on the location of the stall, type of exhibit / services offered.
   6. In case of no floor plan for a particular event, the stalls shall be allocated by the operations team on first come first serve basis considering the theme of the event.
   7. Should the Exhibitor opt to pay through SBI Collect, bank charges as per the policy of SBI shall be borne by the exhibitor.
   8. Exhibitors shall clearly specify the products/services that the they intend to display at the time of booking. Any changes in the product line / services that the Exhibitor intends to display at a later stage are subject to approval by Adaantio India. 
   9. The standard fitment in a particular kind of stall for each event is declared by Adaantio India at the time of booking. Any additional requirement has to be specifically mentioned by the exhibitor at the time of booking & shall be on a chargeable basis subject to availability.
   10. In case, the Exhibitor is registered with GST, the GST number, Trade Name Registered address has to be clearly communicated in written at the time of booking. In case of no clear communication of the GST details at the time of booking, the Tax Invoice of the Exhibitor shall be raised as ‘Not Registered’ party
   11. Exhibitors are advised to strictly follow the rules & regulations laid down by CBIC including but not limited to billing to customers, stock transfer, stock management etc. Adaantio India or the hotel shall not be responsible and shall not be a party to any kind of default or discrepancy between the exhibitor & any government department including but not limited to GST, Income Tax etc. related to participation or sales at the event

(B) Stall Layout

1. 1. The Exhibitor shall display its products neatly so that it adds on grace to the overall event. Adaantio India shall have all rights to ask the Exhibitor to alter the display based on the theme.
   2. Exhibitors are not allowed to display anything outside their stall area including but not limited to any kind of promotional material, exhibits, stands, tables. Corner stall means that the exhibitor shall have to sides of the stall open to interact with the visitors. Under no circumstances, a corner stall means extra space outside the stall for display. 
   3. Loose promotional flex banners are strictly not allowed inside or in the vicinity of the stall. However, Exhibitors can put up a printed sun board on an easel stand or a framed banner inside their stall area which does not pose any kind of obstruction for anyone else.
   4. Food vendors are required to get their menu printed clearly mentioning veg & non veg dishes on a sunboard & place it on an easel stand outside their stall. The Fassai no. of the food vendor & Owner Name should be clearly mentioned on the sunboard.  

(C) Venue Rules

1. 1. The exhibitors need to adhere to the rules laid down by the Apartment Owner’s Association (AOA) / Residents Welfare Association (RWA) / Builder Management / Hotel Management including but not limited to traffic management, entry & exit of stocks/fitment, parking of personal & commercial vehicles etc. 
   2. All personal & commercial vehicles of the exhibitors need to be parked in an authorized parking at their own risk. Adaantio India/RWA/AOA/Builder Management / Hotel Management shall not be responsible for any kind of theft, damage, fine or penalty imposed on the exhibitor by the traffic police or any other competent authority.
   3. The exhibitors are advised to take adequate care of their products/exhibits in terms of security & weather. RWA/ AOA / Facilities team/ Adaantio India / Hotel Management shall not be responsible of any kind of loss including but not limited to mismatch of cash / stocks, damage to stocks & fitment, loss of personal belongings, loss due to harsh weather and/or rain during the event.
   4. Adaantio India / RWA/AOA/Builder Management / Hotel Management does not offer any paid or complementary porter service for transporting stocks or fitment from the dropoff point to the event venue unless specifically specified for a particular event. 
   5. Exhibitors are requested to arrange for adequate manpower to carry their stocks & fitment from the drop off point to venue. There may be some unsolicited manpower available at the gates/dropoff point which may pretend to be from the Adaantio India / RWA/AOA/Builder Management / Hotel Management / facilities team offering porter service. Please note that Adaantio India / RWA/AOA/Builder Management / Hotel Management / facilities team is not responsible for their services & actions. Exhibitors are advised to opt for their services at their own risk.
   6. All support staff of the exhibitor should be smartly dressed & wear shoes for security reasons. Support staff is advised to carry a valid identity card which may be asked for by the security staff.
   7. The Exhibitor shall ensure that none of its representatives / staff present in & around the venue is consuming / distributing / serving  any kind of contraband drugs or alcohol.
   8. Adaantio India / RWA/AOA/Builder Management / Hotel Management / Facilities team / Security team shall have the right to ban the entry of any exhibitor or its staff involved in any kind of unlawful activity at the venue including but not limited to security threat / public nuisance / threat to public harmony / carrying any kind of arms & ammunition. 
   9. Entry of armed / unarmed Personal Security Guards is subject to prior written approval.
   10. Alcohol at any event / exhibition can only be served by a registered vender who carries a valid license from a competent government authority along with written permission of Adaantio India & RWA/AOA/Builder Management / Hotel Management to sell / serve alcohol for a particular event.  

(D) Indemnity

1. 1. The Exhibitor shall indemnify, save & hold harmless all representatives, officials, agents, employees of Adaantio India / RWA/AOA/Builder Management / Hotel Management from & against all claims, costs & expenses (including court costs, legal fees & attorney fees), demands, actions & liabilities of every kind & character whatsoever with respect to any kind of infringement including but not limited to Copyrights, Trademarks, any kind of Intellectual Property Rights. 
   2. The Exhibitor shall indemnify, save & hold harmless all representatives, officials, agents, employees of Adaantio India / RWA/AOA/Builder Management / Hotel Management from & against all claims, costs & expenses (including court costs, legal fees & attorney fees), demands, actions & liabilities of every kind & character whatsoever with respect to commitments made to the visitors at the event including but not limited to warranty/ guarantee, product quality issues, services issues, aftersales services issues, pricing etc.
   3. The Games / Rides Vendor shall indemnify, save and hold harmless all representatives, officials, agents, employees of Adaantio India /RWA/AOA/Facilities Team from any legal action and costs involved to defend themselves including but not limited to fees of lawyers, penalties, fine etc, in case of any mishap and or any kind of accident related to malfunction of any electrical/electronic/mechanical equipment/gadget deployed or negligence of any employee (manpower deployed) operating at the event and /or any kind of medical expenses or compensation to the victims involved in case of any accident and or negligence.
   4. The Food Vendors (packaged food and/or live cooking) shall indemnify, save & hold harmless all representatives, officials, agents, employees of Adaantio India / RWA/AOA/Builder Management / Hotel Management from & against all claims, costs & expenses (including court costs, legal fees & attorney fees), demands, actions & liabilities of every kind & character whatsoever including but not limited to quality of food, quality of ingredients used, hygiene issues, non-adherence to quality standards as per their food license

(E) Refund

(E) (i) Event Cancellation by Adaantio India

1. 1. Adaantio India reserves the right to cancel/prepone / postpone any event / exhibition due to unforeseen circumstances including but not limited to weather predictions, any kind of directive from national/state/local administration / local Police, force majeure.
   2. In case of preponement / postponement of the event / exhibition no refund shall be applicable
   3. Stall Booking Refund
      1. In the event of cancellation, Adaantio India shall refund 100% of the stall booking charges to the Exhibitor. The exhibitor has to revert with the bank details of the same account from which the stall charges were transferred. Adaantio India shall refund the amount to the same bank account within ten (10) working days.
      2. The Exhibitor shall be entitled only to a refund of the stall charges paid by them. Any claims towards costs involved towards the preparation of the event/loss due to not being able to exhibit / loss in profit, etc, shall not be entertained.
      3. In case the GST amount for the aforesaid refund has already been deposited, the GST amount shall be deducted from the refund amount. The Exhibitor shall be able to claim the GST input as per the due process.
   4. Sponsorship amount refund
      1. In case of event cancellation, the sponsorship amount shall be refunded to the sponsor after deducting the marketing costs already initiated towards awareness of the event, nonrefundable advances paid to various vendors for that event & the GST amount in case GST has already been deposited.
      2. In case of preponement/postponement of the event/exhibition, no refund shall be applicable 

(E) (ii) Stall cancellation by the Exhibitor

1. 1. The exhibitor is entitled to cancel its booking & shall get a refund as mentioned below. The number of days shall be calculated based on the actual date of cancellation in writing by the exhibitor and the date of the event/exhibition.
